Terms of Service

These terms govern your use of Rekka. By creating an account or using the service, you accept them. Please read them carefully.

1. Who we are

Rekka is a software-as-a-service workplace wellness product, operated by:

In these terms, "Rekka", "we" and "our" refer to Happy Cloud Studio Sp. z o.o. "You" refers to the company or individual accepting these terms by creating an account.

2. Definitions

Service: the Rekka application, the website at rekka.app, and any related product we provide.
Account: the user record created at signup, identified by your email address.
Workspace: the company tenant under which a team uses the Service. Each workspace has an Owner and may have many employees.
Customer Data: the data you upload or enter into the Service, including company details and the wellbeing content recorded by your team.

3. Eligibility

You may use Rekka only if you are at least 18 years old and have the legal capacity to enter a binding contract. Rekka is designed for business use. By signing up, you confirm you are acting on behalf of a business or in a professional capacity.

4. Your account

You are responsible for:

Keeping your login credentials confidential.
All activity that happens under your account.
Notifying us promptly at team@happycloudstudio.com if you suspect unauthorised access.
Ensuring the colleagues you invite comply with these terms.

The Owner of a workspace controls who has access and what role they hold. We may rely on actions taken by anyone signing in with valid credentials.

5. Paid plans

Subscription fees, billing cycles and currency are those shown at checkout or in your Billing settings. New accounts start with a free trial as described on our pricing page.
Subscriptions renew automatically until cancelled. You can cancel any time from Billing settings; cancellation takes effect at the end of the current billing period.
Fees are exclusive of VAT unless stated otherwise. We apply VAT according to the EU place-of-supply rules.
If a payment fails, we will retry and notify you. After a reasonable grace period, your workspace may be suspended until the balance is settled.
Refunds are issued only where required by law or at our discretion.

6. Acceptable use

You agree not to:

Use the Service for any unlawful purpose, including infringing intellectual property rights or sending unsolicited bulk email.
Upload content that is unlawful, defamatory, or that violates the privacy or other rights of any person.
Use the Service to collect or store wellbeing data about other people without their knowledge and consent. Rekka's wellbeing features are designed for each person to record their own data, voluntarily.
Probe, scan or test the security of the Service without our prior written consent.
Interfere with or disrupt the integrity or performance of the Service.
Attempt to access another customer's workspace.
Reverse engineer, decompile or attempt to extract the source code, except to the extent expressly permitted by law.
Resell or sub-license the Service without our prior written consent, or use it to build a competing product.

We may suspend or close accounts that breach these rules, with or without notice depending on severity.

7. Your data

Customer Data is yours. We claim no rights over it beyond what is needed to provide the Service. You grant us a limited, non-exclusive licence to host, transmit, display and process Customer Data solely to provide the Service. We do not use Customer Data to train machine-learning models, to profile your team, or for any purpose unrelated to delivering the Service.

Where we process personal data on your behalf, our Data Processing Agreement applies and forms part of these terms.

8. Wellbeing disclaimer

Rekka is a wellbeing tool, not a medical device or a healthcare service. Its content (exercises, prompts, reflections, mood tracking) is for general wellbeing and is not medical advice, diagnosis or treatment, and is not a substitute for professional care. If you are unwell or in crisis, please contact a qualified professional or your local emergency services.

9. Our intellectual property

Rekka, including the software, design, brand and site content, is owned by Happy Cloud Studio Sp. z o.o. and protected by intellectual property laws. These terms do not transfer any of those rights to you.

10. Service availability

We aim to keep Rekka available continuously, but we do not promise uninterrupted access. The Service may be unavailable for maintenance, updates or reasons outside our control.

11. Third-party services

The Service relies on third-party infrastructure (currently Supabase, Cloudflare and Brevo, among others listed in our Privacy Policy). We are not responsible for outages or issues caused by these providers, but we will work to restore service promptly.

12. Suspension and termination

You may stop at any time by deleting your workspace in Settings. We may suspend or close your account if you materially breach these terms, if required by law or by an order of a competent authority, or if your continued use poses a security risk. On termination, your right to use the Service ends, and your data is handled as described in our Privacy Policy and DPA.

13. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind to the extent permitted by law. To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental or consequential damages, or for loss of profits, data or goodwill. Nothing in these terms limits liability that cannot be limited under applicable law.

14. Changes to these terms

We may update these terms from time to time. The "Last updated" date reflects the most recent revision. For material changes we will give reasonable notice by email or in-app. Continued use after changes take effect means you accept them.

15. Governing law

These terms are governed by the laws of Poland. The courts of Warsaw, Poland have jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
